Terms and Conditions for jd-forward Web Design Services
1. Introduction 1.1 These terms and conditions (“Agreement”) govern the provision of web design services by jd-forward (“we,” “us,” or “our”) to you (“Client,” “you,” or “your”). By engaging us for web design services, you agree to be bound by these terms.
1.2 jd-forward is a business registered in the UK, with the registered office at Quo Vadis CO Anderton Marina, Uplands Road, Northwich, Cheshire CW9 6AJ.
2. Services Provided 2.1 We offer web design and development services, which may include but are not limited to: website design, website development, website maintenance, and SEO services.
2.2 The specific services to be provided will be outlined in the project proposal or contract and agreed upon by both parties before commencement of any work.
3. Scope of Work 3.1 The scope of work for each project will be clearly defined in the project proposal, and any changes or additional work beyond the agreed scope will be subject to a separate agreement and additional fees.
3.2 We will make every reasonable effort to meet the agreed-upon timelines, but we are not liable for any delays caused by external factors, including but not limited to delays caused by the Client’s failure to provide necessary materials or information.
4. Client Obligations 4.1 The Client agrees to provide all necessary content, materials, and instructions required for the project in a timely manner.
4.2 The Client is responsible for ensuring that any content provided does not infringe on third-party rights and is legally compliant.
5. Payment Terms 5.1 Payment for services is due according to the payment schedule outlined in the project proposal or contract. Unless otherwise agreed, a deposit is required before the commencement of work, with the balance due upon project completion or as specified in the proposal.
5.2 Late payments will incur interest at a rate of [insert rate] per day, starting from the due date.
5.3 All prices quoted are exclusive of VAT, unless otherwise stated.
6. Intellectual Property 6.1 Upon full payment for the services, the Client will own the rights to the final web design and its components (e.g., HTML/CSS code, images, and graphics). We retain the right to showcase the work in our portfolio and marketing materials, unless otherwise agreed.
6.2 We retain ownership of any pre-existing intellectual property, including proprietary design tools, code, and templates, that we use to create the website.
7. Confidentiality 7.1 Both parties agree to keep confidential any proprietary or sensitive information received during the course of the project.
7.2 This confidentiality obligation will remain in effect even after the completion of the project.
8. Warranty and Limitations of Liability 8.1 We will provide a warranty period of [insert period, e.g., 30 days] after project completion, during which we will correct any bugs or errors identified by the Client.
8.2 We make no warranties regarding the functionality, performance, or compatibility of the website with third-party software, applications, or services.

9. Termination 9.1 Either party may terminate this agreement at any time by providing written notice. If the agreement is terminated by the Client before project completion, any work completed up to that point will be invoiced, and the Client agrees to pay for such work.
9.2 If we terminate the agreement, we will refund any unearned payments received from the Client.
10. Force Majeure 10.1 We will not be held liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, or changes in government regulations.
11. Governing Law 11.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
11.2 Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to Terms and Conditions 12.1 We reserve the right to modify these terms and conditions at any time. Any changes will be communicated to the Client, and the updated terms will apply to any new projects or ongoing services.
13. Miscellaneous 13.1 If any provision of these terms is found to be invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.
13.2 These terms constitute the entire agreement between the parties, superseding any prior agreements or understandings.
